1. Agreement to Terms

Welcome to Solist. These Terms of Service ("Terms") govern your access to and use of the Solist platform at solist.rent (the "Platform"), including our website, mobile applications, and services.

By accessing or using Solist, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. About Solist

Solist is a peer-to-peer marketplace that connects people who want to rent items ("Renters") with people who have items available for rent ("Owners"). Solist provides the platform and tools to facilitate these transactions but is not a party to the rental agreements between users.

Important: Solist is not a rental company. We do not own, operate, manage, or control any listings. Owners are independent third parties responsible for their items and rental terms.

3. Eligibility

To use Solist, you must:

  • Be at least 18 years old
  • Be capable of forming a binding contract
  • Not be prohibited from using the Platform under applicable law
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

By using Solist, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

You must create an account to access most features of Solist. You agree to provide accurate, current, and complete information and to update your information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4.3 Identity Verification

We may require identity verification to access certain features, including listing items or making bookings. Verification helps maintain trust and safety on the Platform.

5. Listings

5.1 Creating Listings

Owners may create listings for items they own and have the right to rent. By creating a listing, you represent that:

  • You have legal authority to rent the item
  • The listing information is accurate and not misleading
  • Photos accurately represent the item's current condition
  • The item complies with all applicable laws and regulations
  • The item is safe for its intended use

5.2 Prohibited Items

You may not list:

  • Illegal items or items that facilitate illegal activities
  • Weapons, explosives, or hazardous materials
  • Stolen or counterfeit goods
  • Items that infringe intellectual property rights
  • Adult content or services
  • Items requiring licenses you don't hold
  • Living animals

5.3 Listing Content

You grant Solist a non-exclusive, worldwide, royalty-free license to use, display, and distribute your listing content (including photos and descriptions) to operate and promote the Platform.

6. Bookings and Rentals

6.1 Booking Process

Renters request bookings through the Platform. Owners have 48 hours to respond to booking requests. Once an Owner approves a request, the Renter has 48 hours to complete payment. Failure to meet these deadlines results in automatic cancellation.

6.2 Rental Agreement

When a booking is confirmed, a rental agreement is formed between the Owner and Renter. Solist is not a party to this agreement but facilitates its execution. Both parties agree to:

  • Honor the agreed rental dates and times
  • Communicate promptly about any issues
  • Follow the checkout and check-in procedures
  • Document item condition with photos
  • Return items in the condition received (normal wear excepted)

6.3 Issue Reporting Window

Renters must report any issues with items within 24 hours of pickup. Issues reported within this window are presumed to be pre-existing (Owner responsibility). Issues reported after 24 hours are presumed to have occurred during the rental (Renter responsibility). This affects how disputes and deposits are handled.

6.4 Cancellations

Cancellation policies vary by listing. Owners set their cancellation terms, which are displayed before booking. Refunds are processed according to the applicable cancellation policy.

7. Payments

7.1 Payment Processing

All payments are processed through Stripe. By using Solist, you agree to Stripe's terms of service. Solist does not store your full payment card information.

7.2 Service Fees

Solist charges a service fee for each completed transaction. Current fees are displayed during the booking process. We reserve the right to modify fees with reasonable notice.

7.3 Security Deposits

Owners may require security deposits, which are held during the rental period. Deposits are released after successful return or captured (fully or partially) if damage occurs. Disputed deposits are resolved through our dispute process.

7.4 Payouts

Owners receive payouts after rentals are completed. Payout timing and methods depend on your Stripe Connect account settings. Solist is not responsible for delays caused by Stripe or your financial institution.

8. Communications

8.1 Platform Communications

By using Solist, you agree to receive communications related to your account, bookings, and transactions via email and (if opted in) SMS. These transactional messages are necessary for Platform operation.

8.2 SMS Terms of Service

By opting in to receive SMS messages from Solist, you agree to the following:

  1. Consent: By checking the SMS consent checkbox during registration or in your account settings, you consent to receive automated SMS messages from Solist at the phone number you provided.
  2. Message Types: Messages may include account verification codes, booking confirmations, rental reminders, payment notifications, and account security alerts. Solist does not send marketing or promotional messages via SMS.
  3. Message Frequency: Message frequency varies based on your activity on the platform, typically 1–5 messages per active rental.
  4. Costs: Standard message and data rates may apply. Solist does not charge for SMS messages, but your carrier may.
  5. Opt-Out: Text STOP to any Solist message to unsubscribe. You will receive a final confirmation message. You may also opt out via your account settings.
  6. Help: Text HELP to any Solist message, or email [email protected].
  7. Privacy: Your phone number and SMS opt-in data will not be sold or shared with third parties. See our Privacy Policy for details.
  8. Carrier Disclaimer:Carriers (T-Mobile, AT&T, Verizon, etc.) are not liable for delayed or undelivered messages.
  9. Modifications: We may modify these SMS terms at any time. Continued use of SMS services after changes constitutes acceptance.

8.3 User-to-User Communication

All rental-related communication should occur through the Platform's messaging system. This creates a record for dispute resolution and protects both parties.

9. User Conduct

You agree not to:

  • Violate any laws or regulations
  • Infringe on others' intellectual property or privacy rights
  • Post false, misleading, or fraudulent content
  • Harass, threaten, or discriminate against other users
  • Circumvent the Platform to avoid fees
  • Use the Platform for unauthorized commercial purposes
  • Attempt to gain unauthorized access to Platform systems
  • Interfere with Platform operation or other users' access
  • Create multiple accounts to evade restrictions
  • Manipulate reviews or ratings

10. Reviews and Ratings

Users can leave reviews after completed rentals. Reviews must be:

  • Based on actual rental experiences
  • Honest and accurate
  • Respectful (no personal attacks or hate speech)
  • Free of promotional content or spam

Solist may remove reviews that violate these guidelines but does not verify or endorse user reviews.

11. Disputes

11.1 Between Users

We encourage users to resolve disputes directly. If you cannot reach a resolution, either party may open a dispute through the Platform. Solist will review the evidence (including photos, messages, and checkout/check-in records) and make a determination.

11.2 Resolution Process

Our dispute resolution process considers:

  • Documentation provided by both parties
  • Platform records and communication history
  • Checkout and check-in condition reports
  • The 24-hour issue reporting window
  • Listing terms and return expectations

Solist's dispute decisions regarding deposits are binding on both parties with respect to amounts held by the Platform.

12. Liability and Insurance

12.1 Owner Responsibility

Owners are responsible for ensuring their items are safe, functional, and as described. Owners should maintain appropriate insurance for their items and activities.

12.2 Renter Responsibility

Renters are responsible for using items safely and according to instructions, returning items in proper condition, and covering damage or loss beyond normal wear and tear.

12.3 Platform Limitations

Solist is a platform provider and is not liable for:

  • The condition, safety, or legality of listed items
  • The accuracy of listing information
  • User conduct or performance
  • Damage to or loss of rented items
  • Personal injury arising from item use
  • Disputes between users beyond deposit amounts

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SOLIST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL SOLIST'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOLIST IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

15. Indemnification

You agree to indemnify, defend, and hold harmless Solist and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Platform
  • Your listings or rentals
  • Your violation of these Terms
  • Your violation of any third-party rights

16. Account Termination

You may close your account at any time through Account Settings. We may suspend or terminate your account for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Harm to other users or the Platform
  • Extended inactivity
  • At our discretion with notice

Upon termination, your right to use the Platform ceases. Provisions that should survive termination (such as limitation of liability) will remain in effect.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or Platform use shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Solist regarding Platform use.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any provision does not constitute waiver of that provision.
  • Assignment: You may not assign these Terms. Solist may assign its rights without restriction.
  • Notices: We may send notices to your registered email. You may send notices to [email protected].
